These Terms of Service ("Terms") govern your access to and use of Shagofy, an online platform for creating and operating ecommerce storefronts, including AI-powered store management and sales features. By creating an account or using the platform you agree to these Terms.
1. Accounts & Merchants
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for keeping your credentials secure.
- Merchants are responsible for their stores, products, pricing, staff accounts and the accuracy of information shown to their customers.
2. Plans & Payments
- Subscription plans are billed in advance according to the plan you select. Plan limits (stores, products, users, storage) apply.
- Fees paid for subscription periods are non-refundable except where required by law or expressly stated otherwise.
- We may change plan pricing with reasonable prior notice; changes apply to future billing cycles.
- Customer purchases on your storefront are processed by third-party payment gateways. Where the platform processes payments with its own gateway credentials, your earnings are settled into your Shagofy wallet per the applicable fee schedule shown when configuring gateway rules.
3. The wallet, payments and payouts
- Money a shopper pays you is held in your Shagofy wallet until you withdraw it to the bank account you verified. It is your money; we hold it to pass on.
- Before any payout you must complete verification. We may ask for more information at any time if a regulator or our payment partner requires it.
- Our fee on each payment, and on each withdrawal, is shown before you accept it and on every receipt. Payment providers charge their own fees, which are shown the same way.
- Daily and per-payment limits apply and are shown in the wallet. They exist to limit the damage if an account is taken over.
- We may hold a payment, pause a withdrawal or freeze a wallet where we reasonably suspect fraud, a stolen card, money laundering, or where a shopper has disputed a payment. We will tell you why, and for how long, unless the law forbids it.
- If a payment is reversed by the bank or the provider after you were credited, the amount comes back out of your wallet. If the wallet is empty, you owe it to us.
- Keep your transaction PIN to yourself. Withdrawals confirmed with your PIN are treated as yours; tell us at once if you think someone else has it.
- We are not a bank and we do not pay interest. We do not lend your balance to anyone.
4. Selling to shoppers
- The contract for goods is between you and your shopper. You describe them honestly, deliver them, and handle returns under your own published policy.
- You are the one who answers your shoppers. We may step in where a shopper raises a dispute, and our decision on whether to hold or release a disputed payment is final on the platform, without deciding who is right in law.
- You are responsible for the tax on what you sell.
5. Closing an account
- You can close your account at any time from the app or the dashboard. Withdraw your money first - we will not let you close an account that still holds a balance.
- Closing ends your access immediately and takes your storefronts down. We keep payment and verification records for the period the law requires, as the Privacy Policy explains.
- We may close or suspend an account that breaks these terms, the acceptable use rules, or the law - and we will say why.
6. Acceptable Use
- No illegal goods or services, counterfeit products, infringing content, malware, or content that is fraudulent, hateful or exploitative.
- No attempts to access other merchants' data, probe or disrupt the platform, bypass limits, or abuse APIs and webhooks.
- No use of AI features to generate unlawful, deceptive or spam content; no attempts to extract system prompts, credentials or other users' information.
7. AI Features
- AI Store Manager and AI Sales Agent are assistants: actions taken through them (product creation, price/stock changes, checkout links) are performed on your behalf and under your configured permissions and confirmations.
- You remain responsible for reviewing AI-assisted changes to your catalog, prices and customer communications.
- AI responses are generated from your real store data; however, automated systems can make mistakes. Important commercial decisions should not rely solely on AI output.
- AI availability depends on third-party providers; we do not guarantee uninterrupted availability of specific models.
8. WhatsApp Integration
- WhatsApp connections use the official Meta WhatsApp Business Platform and are subject to Meta's own terms and policies, including their Business Messaging policy.
- You must not use the integration to send unsolicited bulk messages. Violations may lead to disconnection of the integration and account suspension.
9. Customer Data & Stores
- As a merchant you act as the data controller for your customers' personal data collected through your storefronts; we process that data only to operate the platform on your instructions.
- You must publish and honour your own store policies (delivery, returns, privacy) and comply with applicable consumer protection laws.
10. Suspension & Termination
You may stop using the platform at any time. We may suspend or terminate accounts that violate these Terms, create legal risk, or remain unpaid after reminders. Upon termination we may, after a notice period, delete account data as described in our Privacy Policy.
11. Disclaimers
The platform is provided "as is" without warranties of any kind except those that cannot be excluded by law. We do not warrant that the service will be uninterrupted or error-free, nor the outcomes generated by third-party AI models or payment gateways.
12. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising from your use of the platform is limited to the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special or consequential damages, lost profits or lost data.
13. Changes to These Terms
We may modify these Terms. Material changes will be communicated in advance; continued use after the effective date constitutes acceptance.
